Best efforts obligation (Article 8a of Regulation 833/2014)

The duty placed on EU persons since the 14th package of June 2024 to use their best efforts so that non-EU entities they own or control do not undermine the sanctions against Russia.

Definition

The best efforts obligation requires EU persons to use their best efforts so that entities established outside the Union that they own or control do not undermine the sanctions against Russia. The 14th package, adopted on June 24, 2024, wrote it through Regulation (EU) 2024/1745 into a new Article 8a of Regulation 833/2014, binding EU nationals and legal persons. At the time it covered only the trade and sectoral sanctions. The asset freeze regulation, 269/2014, received no similar provision in June 2024; the 16th package of February 24, 2025 extended the obligation to the asset freeze. The phrase is not defined. The recitals and the Commission FAQ (frequently asked questions) of November 22, 2024 read it as an obligation of means: all actions that are suitable and necessary to prevent the undermining. Those actions are limited to what is feasible given the operator's nature, its size, the circumstances and, first of all, the effective control it exercises. Ownership means 50 percent or more of the proprietary rights. A loss of control suffered, not caused by the operator, makes action unfeasible; a loss of control born of inadequate risk assessment and risk-prone decisions excuses nothing. For an insurance group the reach is direct. The prohibitions of Regulation 833 do not bind a subsidiary in Dubai or Istanbul. The parent company in Paris or Munich must be able to show what it did so that this subsidiary does not insure what the parent itself cannot: a group policy, shared screening, escalation of sensitive quotes, a veto over certain acceptances. The European reinsurer protecting the subsidiary rereads its treaty in the same light.

Example

Textbook case: a French parent company owns 70% of an insurance subsidiary in Dubai and appoints four directors out of six. The subsidiary receives a request for cargo cover on 12 million dollars of insured value for electronic components shipped to a Caucasus country. Since summer 2024, the group policy requires any quote on items from the common high priority list bound for a sensitive transit country to be escalated to Paris. The escalation happens, group compliance finds that the end buyer is unknown, and the subsidiary declines. Without that procedure, the parent would have had to explain why nothing was feasible while it held 70% of the capital and four board seats out of six.
